Pinheiro Neto Advogados has helped Mexican bottling company Coca-Cola Femsa acquire Brazilian counterpart Vonpar for 3.57 billion reais (US$1.08 billion).
Vonpar, one of Brazil's largest independent bottling companies, relied on TozziniFreire Advogados for the deal, which was signed last Friday.
Coca-Cola Femsa acquired Vonpar through its local subsidiary, Spal Industria Brasileira de Bebidas. The Brazilian company has three bottling plants, five distribution centres and almost 4,000 employees, who serve over 15 million consumers. These assets will all go to Coca-Cola Femsa, with the exception of its mineral water business, which Vonpar will continue to manage independently.
Coca-Cola Femsa's latest acquisition is its third in Brazil since 2013. The company purchased drinks distributor Spaipa for US$1.85 billion. That deal came shortly after it bought another bottler, Fluminense de Refrigerantes, which was valued at US$448 million. TozziniFreire acted on the opposite side in both deals, advising Coca-Cola Femsa.
The Vonpar merger increases Coca-Cola Femsa's market share by 25 per cent in Brazil. This means the Mexican company will control distribution assets covering approximately 43 per cent of the country.
Coca-Cola Femsa is already Latin America's largest bottling company. Mexican retail conglomerate Femsa owns 48 per cent of its stock, while another 28 per cent is controlled by US drinks maker Coca-Cola. The remainder is held by private shareholders.
