Brazilian firm Lobo & de Rizzo Advogados has helped financial conglomerate Itaúsa acquire a 7.65% equity stake in gas carrier Nova Transportadora do Sudeste (NTS) for a total of 1 billion reais (US$292 million).
Itaúsa purchased the stake from a consortium led by Canada's Brookfield Asset Management, which acquired NTS from Petrobras for US$5.2 billion as part of its divestment programme last September. Petrobras retains a 10% stake in the gas transporter.
Itaúsa simultaneously purchased 10-year debentures issued by NTS, which are convertible into shares, for 400 million reais (US$120 million). Both deals closed on 4 April.
Brookfield's purchase of the 90% stake closed simultaneously with the sale of the 7.65% stake and debentures to Itaúsa.
