Shearman & Sterling LLP in New York and São Paulo, K&L Gates in Delaware and Pinheiro Neto Advogados in São Paulo have advised the financing affiliate of Brazil's largest airline, Azul, on a US$400 million notes offering.
Davis Polk & Wardwell LLP's offices in California, New York and São Paulo, as well as Machado Meyer Advogados in São Paulo, advised the initial purchasers.
The notes are guaranteed by Azul Investments' parent company, Azul, and by Azul's operating subsidiary, Azul Linhas Aéreas Brasileiras.
Azul will use the proceeds for general corporate purposes, including debt refinancing. The deal closed on 19 October.
