Seven firms in Burger King Brasil’s IPO

Simpson Thacher & Bartlett LLP in New York and São Paulo has acted as lead counsel in the 1.9 billion reais (US$580 million) IPO made by Burger King's Brazilian master franchisee.

Burger King Brasil (BKB) shares started trading on São Paulo stock exchange B3 on 18 December.

BKB also took counsel from Lefosse Advogados and Lobo de Rizzo Advogados in São Paulo. Simpson Thacher and Lefosse also advised two of the three main shareholders, investment managers Vinci Capital Partners and Sommerville Investments. The latter was also advised by Van Campen Liem in Amsterdam. The third shareholder, investment fund Mointjuic FIP, was advised by Pinheiro Neto Advogados in São Paulo. Debevoise & Plimpton LLP in the US is also thought to have advised Mointjuic, but this could not be confirmed before publication.

The underwriters hired Mayer Brown LLP in Chicago, New York and São Paulo, and Pinheiro Neto Advogados.

BKB has delivered consistent growth over recent years, despite Brazil's deepest recession in decades. The IPO had a high investor demand and was four times oversubscribed. The offering was made at the top of the price range at 18 reais per share. It gave BKB 886 million reais (US$268 million) and the shareholders 1 billion reais (US$312 million). BKB will use the proceeds to fund further expansion in Brazil.

This marks the latest IPO in a busy Brazilian market during the second half of 2017. In August, Brazil's largest reinsurer IRB raised 2 billion reais (US$639 million) followed by food producer Camil Alimentos raising 1.32 billion reais (US$416.8 million) in October. Brazilian footwear company Vulcabras Azaleia raised 670 million reais (US$207 million) later in the same month.
